Shareholder Damages Claims Against Companies

Recent actions brought against Citigroup, Volkswagen and Timer Bank by their shareholders for recovering damages for artificially induced shareholding have raised important questions for corporate law related to the allowance of so-called holder claims. Apart from that, issues involving distinctions between direct and derivative lawsuits and differences between seller/purchaser and holder claims have been concerned. While the former are recognized and widely practiced, the holder claims are scarcely regulated. The reason is that the holder claims are associated with different policy issues which are difficult to rebut.
