Syndicated loan Agreement under Russian and English Law: a Comparative Legal Study

This paper is devoted to the analysis of the institute of syndicated loan in the Russian Federation, as well as relevant legal aspects related to the conclusion and execution of the syndicated loan agreement and the functioning of modern instruments of the secondary syndicated loan market. This analysis is carried out on the basis of the provisions enshrined in the legislation of the Russian Federation, case law and doctrine, as well as by means of a comparative legal study of provisions of English law. Despite the rapid development and relevance of the institute of syndicated loan in the Russian Federation, this paper identifies gaps in the current Russian legislation in the field of syndicated lending and offers relevant recommendations for their settlement.
