Use of AI in Corporate Governance: Legal Challenges

The rapid spread of artificial intelligence in all spheres of society has also affected the field of corporate governance. While the prospects and challenges of using AI in corporate governance are actively studied by foreign authors, this topic has not been sufficiently disseminated in the Russian-language legal literature. The purpose of this study is to fill this gap. The work reveals the opportunities of using AI in corporate governance and analyses the basis of legal regulation in this area at the level of international organizations, the European Union, the United States and Russia. The author also identified and considered a number of problematic aspects arising in connection with the implementation of AI systems in corporate governance and stemming from both, the features of artificial intelligence, such as the lack of transparency and explainability, possible bias of algorithms, and the traditional issues of corporate governance (agency problem, duties and responsibilities of management bodies, the impact of the corporation's activities on stakeholders).
