Legal Problems of D&O Liability Insurance in Russian and Foreign Law

The work is devoted to the analysis of topical problematic issues related to the legal problems of D&O liability insurance in Russian and foreign law with a simultaneous proposal of possible approaches to their resolution. The author considers, firstly, the duties and responsibilities of the directors of the corporation, their features, as well as the procedure for holding the directors of the corporation liable in connection with the insurance of such liability, secondly, various legal aspects related to the institute of D&O liability insurance, including those related to its legal nature, as well as the contract and the standard rules of such insurance, their conditions and, thirdly, the impact of such insurance on the level of corporate governance. After examining accumulated case law and theoretical material, the author proposes amendments to the Russian legislation to improve the institute of D&O liability insurance.
