This paper examines the legal regime of warranties and indemnity in Russian and foreign law. The author proves that these legal institutions appeared in Russian law due to the lack of effective ways to protect buyers of company shares. The main differences between these institutions are that breach of warranties entails civil liability, which is limited by different criteria. Whereas the indemnity agreement is not subject to such restrictions.
