The master's thesis is devoted to the study of the institute of liability and enforcement of obligations from the corporate contract in Russian and foreign law. The author studied the institute of corporate contract, considered doctrinal approaches to the definition of the concept of "corporate contract", studied the gaps and conflicts of the current legislation of Russia and foreign countries, summarised trends in current court practice in relation to the subject of the study, and made conclusions that allow more flexible use of the institute of corporate contract in practice.
