Derivative contracts as a legal form of hedging corporate risks

The master's thesis is devoted to the study of derivative contracts as a way of hedging corporate risks. The choice of the topic is justified by the complex nature of the institute under study, which is located at the intersection of legal norms and economic prerequisites of corporate activity, the possibility to study developed and developing markets of finance in general and derivative financial instruments in particular in a comparative legal perspective, as well as the availability of an extensive base of theoretical research. The object of research of the final qualification work is legal relations mediated by the conclusion of contracts, which are derivative financial instruments, for mitigating the risks of corporations and the position of the studied legal constructions in the system of contracts, established in the Russian civil legislation. The subject of the research are doctrinal provisions formed in Russian and foreign legal orders in the course of previous studies by scientists and specialists in the field of law and economics, private law norms contained in Russian legislation, court practice in disputes arising from the studied contracts in Russian and foreign jurisdictions. The purpose of this paper is to study the main aspects of hedging the risks of corporations using derivative financial instruments in order to increase their financial stability and protect them from potential losses.
