In this final qualification thesis a thorough examination is conducted on the legal procedures involved in transferring companies to a different location within the Russian Federation or overseas. The primary focus of the study is on reviewing the Russian legal framework that governs the re-registration of businesses, and evaluating how effective this process is within the country's legal jurisdiction. The importance of this research lies in the necessity to update the Russian legal system to meet modern economic challenges and adhere to international standards regarding corporate governance. A significant portion of the study is dedicated to comparing the Russian approach to redomicilation with practices in other countries, specifically Cyprus, the British Virgin Islands, and the state of Delaware in the United States. An analysis is conducted to assess the differences in requirements, procedures, and outcomes of redomicilation for companies and their creditors. Various issues are examined, such as the necessity to obtain approval from the original jurisdiction, investment commitments, the option for reverse redomicilation, and the protection of creditors' rights. As a result of the analysis, it is revealed that redomicilation in Russia faces problems related to legal regulation and the effectiveness of using this tool in practice. The impact of international sanctions and subsequent changes in the migration flows of Russian capital are particularly emphasized. The work contains recommendations on optimizing the existing mechanism of redomicilation through changing the laws on special administrative regions and improving the country's investment climate. The research has significant theoretical and practical potential that can influence the further formation of attitudes towards the institution of redomicilation in the Russian Federation and the adaptation of legislation to the realities of international economic activity.
