Mergers and acquisitions as a way to develop Rosatom State Corporation

This master's thesis is devoted to the study of mergers and acquisitions in the context of the development of the State Corporation “Rosatom”. The relevance of the study is due to the formation of a new development strategy of the company, where the priority task is the introduction of “New products and business directions”, which will contribute to the diversification of the business portfolio for further sustainable development. The inorganic way of development is completely new business directions that can bring the company non-tariff revenues and provide flexibility and independence in relation to constantly changing external conditions, or expansion of the functionality of the existing business portfolio. The author revealed that the key tool for the realization of this task is M&A transactions, which allow to quickly enter the market, acquire competencies and products, find synergies and contribute to the multiple growth of the acquired assets. The main problem is that the company has no internal methodology and practical tools for M&A transactions that would take into account industry specifics. In this regard, the process of conducting a transaction is often very time-consuming due to the lack of a structured roadmap for each stage of the transaction. In order to solve this problem, the author proposed and developed a practical model for managing M&A transactions in Rosatom State Corporation. In the proposed model, the author followed the recommendations of project management standards on the division and management of the M&A process by life cycle phases. The key objective of the map is to describe the business process of making investment and project activities of mergers and acquisitions of the companies of SC Rosatom by creating a step-by-step working tool for the user. Thus, the author's research has revealed the significance of the development of M&A activities for Rosatom State Corporation and proposed a practical model of M&A project management in the company.
